TERMS AND CONDITIONS

These Terms & Conditions ("Terms") govern your access to and use of the OffLine SF website, including any pages, accounts, registration forms, ticketing features, communications, and other services offered through the website (collectively, the "Website").
The Website is operated by OffLine Events, doing business as OffLine SF ("OffLine," "we," "our," or "us").
By accessing or using the Website, creating an account, submitting an application, registering for an event, or purchasing a ticket, you agree to these Terms. If you do not agree, do not use the Website.
1. Eligibility and Age Requirements
The Website is intended for adults only. You must be at least 18 years old to access or use the Website.
Certain events, areas, products, or services may be limited to persons 21 years of age or older. You may be required to present valid, unexpired government-issued photo identification to verify your age and identity.
By using the Website, you represent that you meet all applicable age requirements. OffLine reserves the right to verify age and identity at any time and to deny access when adequate verification is not provided.
2. Website Access and Approval
Some portions of the Website may be restricted to approved users or members.
Access to restricted portions of the Website is granted solely at OffLine’s discretion. Submission of an application, photograph, profile, registration form, or other requested information does not guarantee approval, continued access, event admission, or membership.
OffLine may approve, deny, limit, suspend, or revoke Website access or an account at any time when reasonably necessary to enforce these Terms, protect our community, maintain the intended experience of OffLine, prevent misuse, or address safety or legal concerns.
3. Accounts and Login Information
When creating an account, you agree to provide information that is accurate, current, and complete.
You are responsible for:

Maintaining the confidentiality of your login credentials;

All activity conducted through your account;

Promptly notifying OffLine if you believe your account has been accessed without authorization; and

Keeping your account and contact information current.
You may not share, sell, transfer, or provide your account credentials to another person. You may not create an account using another person’s identity or information.
4. Applications, Photographs, and User-Submitted Content
You may be asked or permitted to submit photographs, profile information, messages, comments, or other materials through the Website ("User Content").
Submitting User Content does not guarantee approval for Website access, membership, registration, or admission to any event.
By submitting User Content, you represent and warrant that:

The information you provide is truthful and accurate;

You own the content or have all permissions necessary to submit it;

The content does not violate another person’s privacy, publicity, intellectual-property, or other legal rights;

The content does not contain malicious software or harmful code; and
-
The content is not fraudulent, threatening, defamatory, discriminatory, exploitative, or otherwise unlawful.
You grant OffLine a limited, nonexclusive, worldwide, royalty-free license to access, store, reproduce, and use your User Content only as reasonably necessary to review your submission, operate the Website, administer our services, communicate with you, enforce our policies, and satisfy legal obligations.
This license does not give OffLine permission to use your submitted profile photographs in public advertising or promotional materials without additional permission, unless you have separately agreed to that use.
OffLine may remove User Content that violates these Terms or that we reasonably determine creates a security, privacy, operational, or legal concern.
5. Event Registration and Admission
Registering for or purchasing a ticket to an OffLine event does not create an unconditional right to admission.
Admission may be subject to:

Applicable age restrictions;

Presentation of valid identification;

Compliance with event rules and entry policies;

Acceptance of a separate Liability Waiver or participant agreement;

Ticket validity and successful payment; and
-
Venue capacity, safety requirements, and applicable law.
OffLine may refuse admission or remove a person who does not satisfy these requirements or whose conduct is unsafe, threatening, disruptive, intoxicated, unlawful, or inconsistent with OffLine’s published policies.
Removal or denial of admission for violating these Terms, event rules, or safety requirements will not ordinarily entitle the individual to a refund.
6. Tickets, Payments, and Refunds
Ticket prices, fees, deadlines, and event details will be displayed during the purchase or registration process.
Unless otherwise expressly stated at the time of purchase:

All ticket sales are final and nonrefundable;

Tickets may not be resold, duplicated, or transferred for commercial purposes;

A ticket may be used only once and only for the event for which it was issued;

Processing, platform, and service fees are nonrefundable; and
-
Failure to attend, late arrival, denial of admission for failure to meet entry requirements, or removal for violating event policies does not qualify for a refund.
OffLine may correct pricing, scheduling, or descriptive errors appearing on the Website. If an error materially affects a completed purchase, we will provide an appropriate correction, replacement, credit, or refund as required by applicable law.
Payments may be processed by third-party payment providers. OffLine generally does not directly receive or store your complete payment-card number. Your use of a third-party payment service may also be governed by that provider’s terms and privacy practices.
7. Event Changes and Cancellations
Event dates, times, locations, programming, hosts, capacity, and other details may change.
If OffLine cancels an event and does not reschedule it, ticket holders will receive any refund or credit described in the applicable ticket terms or required by law.
If an event is postponed or rescheduled, the original ticket may remain valid for the new date. Any available refund, transfer, or credit options will be communicated to affected ticket holders.
OffLine is not responsible for incidental expenses associated with an event change or cancellation, such as transportation, lodging, parking, or other personal costs.
8. Separate Liability Waiver and Event Rules
These Terms govern use of the Website and related online services.
Attendance at or participation in an OffLine event is governed separately by the Liability Waiver, event rules, entry policies, and any participant agreement applicable to that event. You may be required to review and separately accept those documents before attending.
Nothing in these Terms replaces, supersedes, or limits the application of an accepted Liability Waiver or event-specific agreement. If a conflict concerns attendance at or participation in an event, the event-specific agreement will control with respect to that issue.
9. Acceptable Use
You may use the Website only for lawful, personal purposes.
You agree not to:

Misrepresent your identity, age, eligibility, or relationship with another person;

Create an account for another person without authorization;

Share restricted Website content or another user’s personal information without permission;

Harass, threaten, exploit, discriminate against, or impersonate another person;

Scrape, harvest, collect, or commercially use information from the Website;

Copy or distribute membership lists, photographs, profiles, or contact information;

Attempt to gain unauthorized access to the Website, an account, or our systems;

Circumvent approval, access-control, security, or age-verification measures;

Upload malware, automated scripts, or other harmful technology;

Interfere with the operation or security of the Website;

Use the Website to solicit illegal activity or violate another person’s rights; or

Use OffLine’s name, branding, or Website to falsely suggest sponsorship, authorization, or affiliation.
We may investigate suspected violations and cooperate with service providers or lawful government requests when appropriate.
10. Privacy
Our collection, use, storage, and disclosure of personal information are described in our separate Privacy Policy.
By using the Website, you acknowledge that you have had an opportunity to review the Privacy Policy. These Terms do not replace the Privacy Policy.
11. Marketing Communications
You may have the opportunity to subscribe to email or text-message communications from OffLine.
Marketing communications will be sent in accordance with the consent provided during signup. You may unsubscribe from marketing emails using the link contained in the message. You may opt out of marketing text messages by following the instructions provided with those messages.
Opting out of marketing communications will not prevent OffLine from sending transactional or administrative messages relating to purchases, registrations, account security, policy changes, or events for which you have registered.
Message and data rates may apply to text messages.
12. Intellectual Property
The Website and its contents—including the OffLine name, logos, graphics, designs, photographs, videos, text, software, page layouts, and other materials—are owned by or licensed to OffLine and are protected by applicable intellectual-property laws.
OffLine grants you a limited, revocable, nonexclusive, nontransferable right to access and use the Website for its intended personal purposes.
Except as expressly authorized by OffLine, you may not reproduce, modify, publish, distribute, sell, license, publicly display, create derivative works from, or commercially exploit any portion of the Website or its content.
13. Third-Party Websites and Services
The Website may contain links to or integrate with third-party services, including payment processors, ticketing platforms, website hosts, mapping services, analytics providers, social-media platforms, and communication services.
OffLine does not control and is not responsible for the availability, security, content, terms, or privacy practices of third-party services. Accessing or using a third-party service is at your discretion and may be subject to separate terms.
14. Website Availability and Disclaimer
We make reasonable efforts to keep the Website accurate, secure, and available, but we do not guarantee that it will always operate without interruption, delay, error, data loss, or security vulnerabilities.
To the fullest extent permitted by law, the Website and its content are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.
OffLine does not warrant that:

The Website will always be available or error-free;

Website content will always be complete, current, or accurate;

The Website will meet every user’s particular requirements; or
-
The Website or communications sent through it will be free from harmful components.
Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.
15. Limitation of Liability
To the fullest extent permitted by law, OffLine and its owners, operators, employees, contractors, representatives, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from or related to your use of, or inability to use, the Website.
This includes, without limitation, loss of data, loss of profits, interruption of business, reputational harm, or unauthorized access caused by matters outside OffLine’s reasonable control.
Nothing in these Terms limits liability that cannot legally be limited or excluded.
Liability relating to physical attendance at or participation in an OffLine event is addressed separately in the applicable Liability Waiver and event-specific agreements.
16. Indemnification
To the extent permitted by law, you agree to indemnify and hold harmless OffLine and its owners, operators, employees, contractors, and representatives from third-party claims, damages, liabilities, and reasonable expenses arising from:

Your unlawful use of the Website;

Your material violation of these Terms;

User Content you submit; or
-
Your infringement of another person’s rights.
This section does not require you to indemnify OffLine for OffLine’s own unlawful conduct, negligence, or other liability that cannot legally be shifted to you.
17. Suspension and Termination
You may stop using the Website at any time.
OffLine may suspend, restrict, or terminate your account or Website access if we reasonably believe that you:

Violated these Terms or another applicable policy;

Provided false or misleading information;

Created a safety, security, legal, or privacy risk;

Used the Website in a fraudulent or abusive manner; or

Following termination, provisions that logically should continue—including provisions concerning intellectual property, disclaimers, liability, indemnification, and dispute resolution—will remain in effect.

We may revise these Terms periodically to reflect changes to the Website, our services, our business practices, or applicable law.
The revised version will be posted on the Website with an updated effective date. Material changes may also be communicated through the Website or by email when appropriate.
Your continued use of the Website after revised Terms become effective constitutes acceptance of the updated Terms. Changes will not retroactively alter the terms governing a completed purchase unless permitted by law.
19. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.
Any legal action arising from these Terms or use of the Website must be brought in a state or federal court with jurisdiction in San Francisco County, California, except where applicable law permits or requires otherwise.
20. Severability
If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed if necessary. The remaining provisions will continue in effect.
21. No Waiver
OffLine’s failure to enforce a provision of these Terms does not waive our right to enforce that provision or any other provision later.
22. Entire Agreement
These Terms, together with the Privacy Policy and any additional terms expressly presented through the Website, constitute the agreement between you and OffLine concerning use of the Website.
Separate agreements—including the Liability Waiver and event-specific rules—may also apply to event attendance or participation.
